Fiat Chrysler Automobiles and Peugeot S.A. have formally agreed to merge. The two companies will combine in a 50/50 partnership headquartered in Holland and will become the 4th largest car manufacturer by volume, ahead of GM, Hyundai, Ford, and Honda. Based on 2018 numbers, the combined company had revenues of $189 billion and annual sales of 8.7 million units.
Fiat and Peugeot will become the 4th largest car company in the world.
The anticipated results of what the merger will create
Both company boards have signed the agreement, and the next phase will be getting shareholders and regulatory approvals. The transaction is expected to close within the next 12 - 15 months.
Population shifts towards living in Urban areas will change mobility requirements along with increased concerns of pollution from internal combustion engines.
The merger of FCA and PSA was spurred on by geographic changes showing populations shifts towards living in urban areas and forced government regulations mandating cars run on clean energy. Combining the two companies will allow them to better financially and technically meet the needs of this new era in mobility.

Fiat Chrysler Automobiles is recalling an estimated 51,788 Fiat 500 models to have a shift cable bushing replaced. The models affected are just 2012-2013 Fiat 500 hatch and Cabrio models equipped with 6-speed automatic transmissions.

Details
Some of the Fiat 500s mentioned above may have a shifter cable bushing located on the transmission end of the shifter cable that could deteriorate and then become detached from the transmission. This could result in the inability of the driver to shift the transmission, even though the driver may move the shifter.
It should be noted that if this happens, the actual transmission gear position will still be displayed on the instrument cluster and on the display next to the shifter. However, if these warnings are not minded, the car could move in an unintended way, and an accident could occur.
The Fix
Fiat will replace the shift cable adjuster, which contains a more robust bushing, in all of the affected vehicles.

Besides the 51,788 Fiat 500s affected in the United States, the company reports additional vehicles will be subject to recall in Canada (est. 10,627), Mexico (est. 3,520), and specific markets outside North America (est. 6,826).
This is all preliminary news, and the recall is estimated to launch in the 1st Quarter of 2020. Service and repair will be provided free of charge, and affected owners will be notified accordingly in the near future.
While owners await for notification, it is advised that the Fiat 500 Owner's Manual recommendation of applying the Hand Brake when parking is followed.

As usual, our insider information is remarkably accurate, down to the pricing of the 2020 500X Sport. We have confirmed one feature that will not be on the North American 500X Sport is the European car's revised suspension settings. That car's suspension has been lowered 13mm (approximately 1/2 inch) and re-tuned to give sportier handling compared to the other European 500X models.
It should be noted, though, that unlike European 500X models, all North American 500X models already use as standard, premium Koni FSD (Frequency Selective Damping) style shock absorber technology. In Europe, only their 500X Sport comes with these upgraded shocks. We should also add that the North American 500X suspension is more aggressive and tuned for sharper turn-in and handling compared to its sister car, the Jeep Renegade.

FIAT announced today that the new 2020 Fiat 500X Sport model will make its North American debut at this month’s 2019 AutoMobility LA.
The new 500X Sport builds on its classic Italian design with a youthful, sporty appearance that offers even more customized features on top of an advanced, fuel-efficient turbocharged engine.
“Our Italian-designed, fun-to-drive Fiat 500X is the only vehicle in its class to feature standard all-wheel drive and achieve 30 miles per gallon,” said Tim Kuniskis, Head of Passenger Car Brands – Dodge, SRT, Chrysler and FIAT – North America. “With standard turbo power, the Fiat 500X Sport is a fresh, new alternative in one of the fastest growing segments in the industry.”
Fiat 500X Sport Exterior
Highlighted with the introduction of an all-new exterior paint color “Rovente Red,” the Fiat 500X Sport offers a host of new stylish exterior features, including new front and rear fascia designs and body-color painted side-moldings along with a “Sport” badge displayed on the front fender. Available LED lighting systems provide enhanced visibility in all driving conditions. Full LED headlights are coupled with LED fog lamps, creating a signature, sporty look. Dark-finish exterior accents on mirror caps, door handles and the rear license plate brow further define its appearance. New 18-inch aluminum wheels come standard and, for the first time on any 500X model, an all-new 19-inch premium aluminum wheel with Michelin CrossClimate all-season tires is available. Chrome dual-exhaust tips complete its unmistakable road presence.
The Fiat 500X offers the most exterior paint colors in its class. In addition to the exclusive all-new “Rovente Red” color, other paint options for the 500X Sport include White, Black, Moda Grey and Italia Blue. A new black roof option may also be combined for an attractive, custom exterior.
Fiat 500X Interior
The same sporty and adventurous style displayed on the exterior is also found in the interior. This is highlighted with a dark-finished headliner and pillars along with new interior door and console bezel surface finishes. A new techno-leather steering wheel features handcrafted red stitching and Alcantara inserts with paddle shifters that provide optimal gear selection, resulting in a spirited driving experience.
Furthermore, a new Alcantara-covered cluster brow and new cluster graphics and instrument-panel bezel finish create a functional, clean appearance for drivers and passengers alike. In addition, aluminum pedal covers and new Sport floor mats come standard.
The interior is complete with new exclusive Sport seats in black fabric and vinyl inserts that feature a stitched grey “500” logo.
Fuel-efficient Turbocharged Engine
Designed and manufactured in Italy, the 2020 Fiat 500X Sport features an advanced standard-equipped 1.3-liter turbocharged engine with the latest iteration of the FCA exclusive MultiAir (called MultiAir III) valve-actuation technology, engine stop-start (ESS) technology and an impressive 210 lb.-ft. of torque. Also standard are a nine-speed automatic transmission and a standard all-wheel-drive system with an automatic disconnecting rear axle that contributes to improved fuel economy of up to three miles per gallon compared to the previous engine.
With fuel economy of up to 30 mpg highway, the Fiat 500X is the only vehicle in its class to have 30 mpg highway and standard all-wheel drive.
More than 70 Safety and Technology Features
The Fiat 500X Sport offers more than 70 available safety and security features, including available Adaptive Cruise Control and Front Park Assist for added passenger convenience and protection.
Adaptive Cruise Control may be activated for automatic reduction of the set speed when the vehicle is approaching a vehicle in the same lane, or when another vehicle moves into the same lane. Adaptive Cruise Control returns to the set speed when the vehicle in front accelerates or moves to another lane. At a distance set by the driver, the feature also keeps the car back from the vehicle ahead. With Front Park Assist, at low speeds ultrasonic sensors in the bumper detect stationary objects.
The Fiat 500X Sport is supplemented with both active and passive safety and security features, including Blind-spot Monitoring, Rear Cross Path detection, ParkView rear backup camera with dynamic grid lines, ESC with electronic roll mitigation and seven standard air bags. Standard rear parking sensors and available front parking sensors, plus an electric parking brake system, round out the well-equipped small crossover.
And to make any journey more pleasing, the 500X Sport features the latest generation Uconnect 4 with 7-inch touchscreen display infotainment system, Apple CarPlay and Android Auto connectivity, which come standard along with available satellite navigation, SiriusXM Radio, Beats premium audio system and automatic climate control.

The Board of Directors of Fiat Chrysler Automobiles and the Supervisory Board of Peugeot S.A. have agreed on a pathway to merge and create the world's fourth-largest automaker, nudging out General Motors fourth-placing, and just behind third-place Renault-Nissan.
This proposal is in response to the staggering costs of upcoming forced governmental regulations, technology mandates, and changing markets. Similar to the earlier Renault-FCA merger proposal from May of this year, this merger of equals will generate 3.7 billion euros ($4.1 billion) in annual savings and boost presence across key regions, and automotive markets. Combining will also strengthen development of new technologies needed to compete in the rapidly changing marketplace.

Discussions have opened a path to the creation of a new group with global scale and resources owned 50% by Groupe PSA shareholders and 50% by FCA shareholders. In a rapidly changing environment, with new challenges in connected, electrified, shared and autonomous mobility, the combined entity would leverage its strong global R&D footprint and ecosystem to foster innovation and meet these challenges with speed and capital efficiency.

The Supervisory Board of Peugeot S.A. and the Board of Directors of Fiat Chrysler Automobiles N.V. (“FCA”) (NYSE: FCAU / MTA: FCA) have each unanimously agreed to work towards a full combination of their respective businesses by way of a 50/50 merger. Both boards have given the mandate to their respective teams to finalize the discussions to reach a binding Memorandum of Understanding in the coming weeks.
The plan to combine the Groupe PSA and FCA businesses follows intensive discussions between the senior managements of the two companies. Both share the conviction that there is compelling logic for a bold and decisive move that would create an industry leader with the scale, capabilities and resources to capture successfully the opportunities and manage effectively the challenges of the new era in mobility.
The proposed combination would create the 4th largest global OEM in terms of unit sales (8.7 million vehicles), with combined revenues of nearly €170 billion 1 and recurring operating profit of over €11 billion 2 on a simple aggregated basis of 2018 results excluding Magneti Marelli and Faurecia. The significant value accretion resulting from the transaction is estimated to be approximately €3.7 billion in annual run-rate synergies derived principally from a more efficient allocation of resources for large-scale investments in vehicle platforms, powertrain and technology and from the enhanced purchasing capability inherent in the combined group’s new scale. These synergy estimates are not based on any plant closures.
It is projected that 80% of the synergies would be achieved after 4 years. The total one-time cost of achieving the synergies is estimated at €2.8 billion.
The shareholders of each company would own 50% of the equity of the newly combined group and would therefore share equally in the benefits arising from the combination. The transaction would be affected by way of a merger under a Dutch parent company and the governance structure of the new company would be balanced between the contributing shareholders, with the majority of the directors being independent. The Board would be composed of 11 members. Five Board members would be nominated by FCA (including John Elkann as Chairman) and five would be nominated by Groupe PSA (including the Senior Independent Director and the Vice Chairman)3. The Chief Executive Officer would be Carlos Tavares for an initial term of five years and he would also be a member of the Board.
Carlos Tavares said: “This convergence brings significant value to all the stakeholders and opens a bright future for the combined entity. I’m pleased with the work already done with Mike and will be very happy to work with him to build a great company together.”

The new group’s Dutch-domiciled parent company would be listed on Euronext (Paris), the Borsa Italiana (Milan) and the New York Stock Exchange and would continue to maintain significant presences in the current operating head-office locations in France, Italy and the US.
It is proposed that the by-laws of the new combined company would provide that the loyalty voting program will not operate to grant voting rights to any single shareholder in the Shareholders Meeting exceeding 30%4 of the total votes cast. It is also foreseen that there would be no carry over of existing double voting rights but that new double voting rights would accrue after a three-year holding period after completion of the merger.
A standstill in respect of the shareholdings of EXOR N.V., Bpifrance Participations SA, DFG and the Peugeot Family would apply for a period of 7 years following completion of the merger. EXOR, Bpifrance Participations and the Peugeot Family would be subject to a 3-year lock-up in respect of their shareholdings except that the Peugeot Family would be permitted to increase its shareholding by up to 2.5% during the first 3 years following the closing, only by acquiring shares from Bpifrance Participations and DFG.
Prior to the completion of the transaction, FCA would distribute to its shareholders a special dividend of €5.5 billion, as well as its shareholding in Comau. In addition, prior to completion, Peugeot would distribute to its shareholders its 46% stake in Faurecia. This would enable the combined groups’ shareholders to equally share in the synergies and benefits that would flow from a merger while recognizing the significant value of FCA’s differentiated platform in North America and strong position in Latin America, including its market-leading margins in those regions. It would also reflect the added value that FCA’s higher-end global brands Alfa Romeo and Maserati would bring given their substantial development potential.
The extended portfolio would cover all market segments with iconic brands and strong products based on rationalized platforms and optimization of investments.
The proposal would be submitted to the information and consultation process of the relevant employee bodies, and would be subject to customary closing conditions, including final board approvals of the binding Memorandum of Understanding and agreement on definitive documentation.

The Alfa Romeo Tonale is coming to America. Company sources say the stunning Alfa Tonale will make its first appearance in the US at the 2019 LA Auto Show this November. The production version of the Tonale is expected to arrive in the United States in late 2020. Designed by FCA's Centro Stile in Turin, the Alfa Romeo Tonale concept car made its debut at the Geneva Motor Show last March and has already begun winning design awards, such as Auto & Design magazine's International Car Design Award 2019 and Auto Express' Readers' Choice Design Award 2019.

The driver's attention will be on the road, with the peripheral focus on a 12.3-inch full digital cluster and a 10.25-inch touchscreen central head unit. The Tonale allows the driver to be fully connected to the Alfa Romeo Lifestyle and Social communities, realized and presented through the new infotainment features, “Alfista” and “Paddock”.
"Alfista” is an immersive Alfa Romeo Lifestyle experience, providing a fully connected interface with select Alfa Romeo clubs and community events, such as gatherings, drives and meets. This in-vehicle app allows the driver access to live news and updates about the current happenings of the Alfa Romeo brand. The customer has the ability to confirm attendance to events and gatherings, order Alfa Romeo Racing tickets, as well as apply for opportunities to win VIP access to special Alfa Romeo sponsored events, just to name a few.
“Paddock” is the Alfa Romeo Tonale in-vehicle garage and market for real-time viewing and purchasing of the latest interior and exterior performance upgrades and equipment. The Paddock app also enables the customer to scroll through the latest offerings of Alfa Romeo Merchandise and Apparel, which can be ordered direct with the touch of the screen.

For this reason, it has no need to express itself through signatures or decided livery, but just with small details such as the Alfa logo, or “Biscione” in hybrid optics, a small yet definitive detail that enhances the Tonale.
The rear electric engine opens the way to new technological solutions that offer driving dynamics, maximizes the drive and the pleasure of sporty driving. The evolution is also evident in the drive modes managed by Alfa D.N.A. From the beginning on the 4C and through the development with Giulia and Stelvio, it has reached the Tonale and now implements specific energy management functions.

This is also behind the name chosen for the new concept car. The Tonale Pass, not far from the Stelvio Pass in the Alps, is a large natural amphitheater famous for its majestic peaks, the natural spectacle of frothy waterfalls and snow all year round in a breath-taking natural setting. Directly connected to the Stelvio Pass, excitement and harmony coexist in the Tonale Pass area. The Tonale is an important development under the sign of continuity and geographical proximity, an evolution traced in time in an evocative association.
This year marks the 120th anniversary of the founding of Fiat in 1899. To celebrate the occasion, Fiat commissioned a special Two-tone painted 500X model called the 120th Anniversary Edition.
The 500X 120th edition will be available in four exterior colors: Bianco Gelato (White Clear Coat), Milano (Ivory Tri-coat), Grigio Argento (Gray Metallic) and Nero Cinema (Black Clear Coat)
Pricing of the 120th Anniversary Edition starts at $25,735*, just $995 more than a base Fiat 500X Pop model. The expected arrival of this unique Fiat is later in the year. The new Fiat 500X Sport is on its way! Sources have reported a new Sport model is being added to the 500X lineup. Preliminary information has pricing and options, but no imagery.
In Europe, the 500 Sport is spearheading the refreshed 500X range. Last year, the US also received the new 500X range that features many enhancements, revised styling, and a new engine that offers the best in segment torque output. The new 1.3 FireFly Turbo engine replaces the old 1.4 MultiAir Turbo and boasts a 35% improvement in torque, going from 172 lbs.ft with the previous engine to a stout 210 lbs.ft. Along with the substantial increase in torque, fuel economy is also up three mpg in city driving.
Information is scarce on what exactly the US 500X Sport will come with, but in Europe, the Sport is more than just a slapped on badge. Suspension calibrations have been revised, and the car rides 13mm lower, and steering has been retuned for more precise feedback. The results are a reduction of understeer by 26%, and oversteer, at the extreme limits, by 17%. Responsiveness and turn-in ability are also said to be significantly enhanced.
Exterior wise, the 500X Sport is based on the Pop model and is given a makeover with body-colored moldings including side skirts, wheel arches, and rear diffuser-style rear bumper. Myron grey accents are tastefully applied to handles, specially designed inserts on the front bumper, the front molding, and rear-view mirror caps. Dual chrome exhaust tips round out the exterior changes.
Unique 19" alloy wheels featuring 225/40 rubber are available and besides looking good, generate an 8% increase in lateral acceleration compared to the standard 18" wheel package.

Inside, there are Sport specific instrument panel graphics, aluminum pedal covers, a flat bottomed sport steering wheel and titanium grey dashboard insert. Unique Sport floor mats are included. Optional is a hand-stitched Alcantara instrument panel cover* and black leather seats with titanium grey trim.
While we have preliminary information on some of the equipment the North American car will come with, full details have yet to be confirmed. The description above gives a bassline of what could be. One bit of news North American fans of the 500X will be happy to hear is that paddle shifters, a long wished for item, have been added.
